NOTICE OF 6th ANNUAL GENERAL MEETING

    NOTICE is hereby given that the 6th Annual General Meeting of Members of The Jamaica National Group Limited will be held at 3 p.m. on Tuesday, December 12, 2023 in a hybrid format – that is, both at a physical location and by live-streaming for the following purposes:

    REGISTERED/VALIDATED MEMBERS

    To attend the AGM on Tuesday, December 12

    Members who registered by 10:00 am on Monday, December 11, 2023 will be able to join the AGM, vote and ask questions.

    These registered members will receive an email from Zoom with a passcode and link to the AGM.  YOU WILL NOT NEED TO USE THE PASS CODE PREVIOUSLY PROVIDED WHEN YOU REGISTERED.

    The online meeting room will open at 2.30 pm (EST).

    Attending as a non-member or guest:

    Persons who did not register before 10:00 am on Monday, December 11, 2023

    Visit www.jngroup.com to join the AGM.  You will not be able to vote nor ask questions.

    Members may submit questions in advance by email to agm@jngroup.com. These questions may be addressed during the AGM, as practical, or a response sent via email.

    The resolutions to be voted on at the AGM are in the Proxy Form on the AGM website, www.jngroup.com/agm-2023.

    For this AGM, members may appoint a director physically present at the meeting as his/her proxy to attend and vote at the meeting on their behalf.  Members who wish to appoint a proxy must do so by submitting a completed Form of Proxy.  The Proxy Form provides the name of the JN director.

    The Form of Proxy is available at www.jngroup.com/agm-2023 and is also available on request by emailing: agm@jngroup.com.

    To be considered valid, the completed Form of Proxy shall be signed by the member and sent via email to agm@jngroup.com or delivered to the Company Secretary, 2 – 4 Constant Spring Road, Kingston 10, Jamaica, by Sunday, December 10 at 3.00 pm (EST).

    The resolutions to be voted on are included in the Form of Proxy.

    Questions can be submitted by email to agm@jngroup.com up to 48 hours prior to the meeting – Sunday, December 10 at 3.00 pm (EST).  Members who have registered by the deadline of Monday, December 11 at 10 am may also submit questions during the meeting on the meeting platform.  These questions will be addressed during the AGM as deemed reasonably practicable in the Chairman’s discretion.

    Yes, our platform can accommodate questions posed by members who registered by the deadline of Monday, December 11 at 10.00 am. At the start of the meeting, we will share details about how to ask questions.  Members can also submit questions in advance of the AGM by emailing agm@jngroup.com.  These questions will be addressed during the AGM as deemed reasonably practicable in the Chairman’s discretion.

    Participation is reserved for members only. As such, registration is required so that we can verify your membership so that you can vote on any resolutions or ask questions.

    On the JN Group website, www.jngroup.com/agm-2023.  Registration for the AGM will be available up to Monday, December 11 at 10.00 am. (EST)

    If registration to attend the AGM is not completed before the deadline of Monday, December 11 at 10.00 am (EST), members will still be able to attend the meeting online.  However, they will not be able to vote nor ask questions.

    • Visit com/agm-2023and enter full name, last three digits of your Taxpayer Registration Number (TRN), Social Security Number (USA residents) or National Identity Card (UK residents), cell phone number and email address.
    • You will receive a codewhich will be sent to your email address or via SMS (text message).  This code will be needed to log into the AGM on the day of the event.
    • You will receive a reminder of your codeto log into the AGM via SMS or email.

    On Tuesday, December 12, visit www.jngroup.com/agm-2023, click on AGM event link, enter the code to access the meeting.  The online meeting room will open at 2.30 pm.
